This Data Retention & Deletion Addendum (“Addendum”) supplements and is incorporated into the Master Service Agreement (“MSA”) between Think Smart Group, Inc. (“TSI”) and the Customer. This Addendum governs backup retention, restore processes, export, and deletion of data. Capitalized terms not defined in this Addendum have the meanings given in the MSA and incorporated policies.
1. Backup Schedule & Retention
1.1 Defaults. Nightly backups; retention of last seven (7) daily restore points and last five (5) weekly restore points unless otherwise specified in an Order Form or Managed Backup Addendum.
1.2 Scope. Backups capture supported system states and data locations as configured. Application-aware backups (e.g., SQL) require explicit purchase and validation testing.
2. Restore Initiation & Limitations
2.1 Initiation SLO. TSI initiates a requested restore within the SLO in the Security Annex or Managed Backup Addendum.
2.2 Limitations. Restores are limited to captured data/states; TSI does not warrant business value, integrity, or application-level usefulness of restored data unless application-aware backups are in place and validated.
3. Export & Deletion at Termination
3.1 Export Window. After termination of all Services, TSI retains active copies of Customer data for up to thirty (30) days solely to enable export.
3.2 Deletion. After the export window, active copies are deleted; residual copies persist in backups until those media expire under §1.1.
3.3 Certificate. Upon request, TSI will provide a Data Deletion Certificate documenting completion of logical deletion from active systems.
4. Legal Hold
If Customer timely places specified data under legal hold, TSI will preserve the specified data for the hold period at Customer’s expense under a mutually agreed SOW.
5. Changes to this Addendum
TSI may update this Addendum from time to time. TSI will provide notice of material changes. Materially adverse changes will not take effect during a then-current Order Form term; they apply upon renewal, unless earlier required by law or to address security, legal, or system‑integrity risks. Updates will not modify commercial pricing or payment terms.
This Addendum is accepted and agreed to by Customer as of the Effective Date of the Master Service Agreement into which it is incorporated.
